Terms of Service

1. Acceptance of Terms

By downloading, installing, or using MarkNode (the "App") or visiting marknode.com (the "Site"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the App or Site.

These Terms form a legal agreement between you and Document Node Pty Ltd, a company registered in Western Australia, Australia ("we", "us", or "our").

2. Age Requirements

You must be at least 13 years old to use MarkNode (or 16 years old if you are in the EU/EEA). If you are under 18 years of age, you must have the consent of a parent or legal guardian to use the App and purchase any paid tier, and by using the App you represent that such consent has been obtained.

3. Service Tiers

MarkNode is offered in three tiers:

  • Free — the core Markdown editor and mind-map features, available at no cost with no account required.
  • Pro — a one-time purchase granting a perpetual license to use the Pro features of the current major version, plus a defined period of updates as described at the time of purchase.
  • Ultimate — a recurring subscription that includes all Pro features plus cloud sync, real-time collaboration, mind map sharing, browser editing, and the AI writing assistant. Ultimate features require an active subscription.

4. Purchases

Paid licenses and subscriptions may be purchased through:

  • cloud.marknode.com — processed via Stripe. By completing a purchase you agree to Stripe's terms of service and privacy policy.
  • macOS App Store — processed via Apple's in-app purchase system. Those purchases are governed by Apple's Media Services Terms and Conditions. We receive only a confirmation of your purchase.

5. Subscriptions and Auto-Renewal

Ultimate subscriptions automatically renew at the end of each billing cycle (monthly or annual, as selected at purchase) unless you cancel before the renewal date.

You may cancel your subscription at any time:

  • via your Account page at cloud.marknode.com;
  • by contacting us at support@documentnode.io; or
  • for App Store purchases, via your Apple App Store subscription settings (Settings › [Your Name] › Subscriptions).

Cancellation takes effect at the end of the current billing period. You retain access to Ultimate features until then.

If you are offered a free trial, it will convert to a paid subscription at the end of the trial period unless cancelled before the trial expires. We will make the trial duration and the post-trial price clear before you start.

6. Fee Changes

We may change subscription fees with reasonable advance notice. We will notify you by email before a fee increase takes effect. If you do not agree to the new price, you may cancel before your next renewal date. Continued use of the subscription after the new price takes effect constitutes acceptance.

7. Refunds

Except where required by applicable law, all payments — subscription fees, perpetual licenses, and other purchases — are non-refundable once the license is activated or the subscription period has begun.

Statutory exceptions:

  • Australian consumers — nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010), including any applicable guarantees that cannot be excluded by contract.
  • EU/UK consumers — you have a statutory 14-day right of withdrawal for digital purchases. This right is waived once you begin downloading or accessing the software with your explicit consent, as permitted under applicable law. Where applicable, we will ask for your consent to begin access before the withdrawal period expires.

For App Store purchases, refund requests are handled by Apple under their own refund policy.

8. User Content and Your Documents

Your documents remain yours. You retain full ownership of and all intellectual property rights in the content you create using MarkNode. We claim no ownership over your documents, mind maps, or other content.

For Ultimate subscribers who use cloud features, you grant us a limited, non-exclusive license to store, transmit, and process your content solely as necessary to provide the Service. We do not use your content for any other purpose.

9. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us promptly at support@documentnode.io if you suspect unauthorised access to your account. We are not liable for losses arising from unauthorised use of your account due to your failure to safeguard your credentials.

You may not create accounts for others without their authorisation, or use another person's account without permission.

10. Acceptable Use

You agree not to:

  • use the App or Service in any way that violates applicable law or regulation;
  • attempt to gain unauthorised access to any part of our systems or infrastructure;
  • use the AI writing assistant to generate content that is illegal, defamatory, or infringes third-party rights;
  • resell, sublicense, or distribute the App except as expressly permitted by the EULA;
  • use the Service to transmit malware, spam, or other harmful code.

11. Intellectual Property

MarkNode, including its software, design, branding, and all associated intellectual property, is owned by Document Node Pty Ltd and is protected by copyright, trademark, and other laws. These Terms do not transfer any ownership of our intellectual property to you. Your use of MarkNode is governed by the End User License Agreement at /eula.

12. Third-Party Services

The Service may integrate with or link to third-party services (e.g. OAuth providers, cloud storage, AI providers). We are not responsible for the terms, privacy practices, or conduct of those services. Your use of them is governed by their own terms.

13. Termination

We may suspend or terminate your account if you materially breach these Terms and fail to remedy the breach within a reasonable period after notice. Upon termination, your right to use paid features ceases. The Free tier of the application continues to function offline and is not affected by account termination.

You may terminate your account at any time as described in our Privacy Policy (account deletion section).

14. Disclaimer of Warranties

THE APP AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Nothing in this section excludes or limits any rights you may have under mandatory applicable consumer protection law (including Australian Consumer Law).

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DOCUMENT NODE PTY LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP OR SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) AUD $50.

Some jurisdictions do not permit exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Document Node Pty Ltd and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your violation of these Terms or your use of the Service in a manner not permitted by these Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Western Australia, Australia, without regard to conflict-of-law principles. You agree that any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Western Australia, unless mandatory consumer protection laws in your jurisdiction grant you additional rights to bring proceedings locally.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. For significant changes, we may also notify you via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
