본 최종 사용자 라이선스 계약("EULA")은 귀하("귀하" 또는 "라이선시")와 오스트레일리아 웨스턴오스트레일리아주에 등록된 법인인 Document Node Pty Ltd("Document Node", "당사") 간의 법적 계약으로, MarkNode 데스크톱 애플리케이션("소프트웨어")의 사용을 규율합니다.
소프트웨어를 설치, 복사 또는 사용함으로써 귀하는 본 EULA에 구속되는 데 동의합니다. 동의하지 않는 경우 소프트웨어를 설치하거나 사용하지 마십시오.
1. 라이선스 부여
1.1 무료 등급
본 EULA의 조건에 따라, Document Node는 귀하에게 개인 기기에 MarkNode 무료 등급을 무상으로 설치하고 사용할 수 있는 비독점적이고 양도 불가능하며 철회 가능한 라이선스를 부여합니다.
1.2 Pro 라이선스(영구 상업적 사용)
Pro 라이선스를 구매하면, Document Node는 귀하에게 라이선스가 허용하는 기기 수만큼 MarkNode를 상업적 목적(전문, 비즈니스 또는 고객 대면 환경에서의 사용 포함)으로 설치 및 사용할 수 있는 비독점적이고 양도 불가능한 영구 라이선스를 부여하며, 애플리케이션의 평생 업데이트를 추가 비용 없이 제공합니다. Pro 라이선스는 애플리케이션 전체를 포괄하지만, 활성 Ultimate 구독이 필요한 호스팅 클라우드 또는 구독 기능에 대한 접근 권한은 부여하지 않습니다.
1.3 Ultimate 구독
해당 구독료를 지급하면, Document Node는 귀하에게 활성 구독 기간 동안 클라우드 및 AI 기능을 포함한 모든 MarkNode 기능을 사용할 수 있는 비독점적이고 양도 불가능한 라이선스를 부여합니다. 본 라이선스는 구독이 만료되거나 취소되면 자동으로 종료됩니다.
2. 제한 사항
귀하는 다음의 행위를 할 수 없습니다:
- 본 EULA에서 명시적으로 허용하는 경우를 제외하고 소프트웨어의 복제본을 복사, 수정, 병합, 배포, 게시, 서브라이선스 또는 판매하는 행위;
- 소프트웨어를 역설계, 역컴파일, 역어셈블하거나 소스 코드를 도출하려고 시도하는 행위. 단, 본 제한에도 불구하고 관련 법률이 해당 행위를 명시적으로 허용하는 범위(예: 적용 가능한 상호운용성 규정에 따른 경우)는 제외합니다;
- 소프트웨어 내의 소유권 고지(저작권 고지 포함)를 제거, 변경 또는 은폐하는 행위;
- 경쟁 제품이나 서비스를 개발하기 위해 소프트웨어를 사용하거나 제3자가 그러한 행위를 하도록 지원하는 행위;
- 당사의 사전 서면 동의 없이 귀하의 라이선스를 타인에게 이전, 양도 또는 서브라이선스하는 행위.
3. 소유권
소프트웨어는 판매되는 것이 아니라 라이선스가 부여되는 것입니다. Document Node Pty Ltd는 모든 지식재산권을 포함하여 소프트웨어에 대한 모든 권리, 소유권 및 이익을 보유합니다. 본 EULA는 귀하에게 어떠한 소유권도 이전하지 않습니다.
4. 제3자 및 오픈소스 구성 요소
소프트웨어에는 제3자 및 오픈소스 구성 요소가 포함되어 있습니다. 이러한 구성 요소는 각자의 오픈소스 라이선스에 따라 사용이 허가되며, 해당 라이선스는 소프트웨어 내(정보 대화 상자 또는 동봉된 고지 파일을 통해 확인 가능)에 명시되어 있습니다. 해당 구성 요소의 사용은 각자의 라이선스를 따릅니다.
5. 업데이트
당사는 소프트웨어의 업데이트, 패치 또는 새 버전을 출시할 수 있습니다. Pro 라이선스 사용자는 구매 조건에 명시된 대로 업데이트를 제공받습니다. Ultimate 구독자는 구독 기간 동안 업데이트를 제공받습니다. 당사는 합리적인 통지를 거쳐 기능을 변경하거나 중단할 권리를 보유합니다.
6. 기간 및 해지
본 EULA는 귀하가 소프트웨어를 최초로 설치하거나 사용한 날부터 효력이 발생하며 해지될 때까지 유효합니다.
- 무료 및 Pro 라이선스 — 귀하가 본 EULA의 조건을 위반하지 않는 한 본 EULA는 무기한 유효하며, 위반 시 당사의 통지와 함께 자동으로 해지됩니다.
- Ultimate 구독 — 본 EULA는 귀하의 구독이 종료되거나 취소될 때 해지됩니다.
해지 시 귀하는 소프트웨어 사용을 중단하고 모든 복제본을 삭제해야 합니다. 제3조, 제7조, 제8조 및 제9조는 해지 후에도 존속합니다.
7. 보증의 부인
관련 법률이 허용하는 최대 범위에서, 소프트웨어는 상품성, 특정 목적에의 적합성, 권원 및 비침해에 대한 보증을 포함하되 이에 국한되지 않는 명시적 또는 묵시적인 어떠한 종류의 보증 없이 "있는 그대로" 그리고 "이용 가능한 상태로" 제공됩니다. 당사는 소프트웨어가 중단 없이 작동하거나, 오류가 없거나, 유해한 구성 요소가 없거나, 결함이 시정될 것임을 보증하지 않습니다.
본 조항의 어떠한 내용도 강행적으로 적용되는 소비자 보호법(오스트레일리아 소비자법 포함)에 따라 귀하가 보유할 수 있는 권리를 배제하거나 제한하지 않습니다.
8. 책임의 제한
관련 법률이 허용하는 최대 범위에서, DOCUMENT NODE PTY LTD는 소프트웨어의 사용 또는 사용 불능으로 인해 발생하거나 이와 관련된 간접적, 부수적, 특별, 결과적 또는 징벌적 손해나 이익, 수익, 데이터 또는 영업권의 상실에 대해, 그러한 손해의 가능성을 사전에 고지받았더라도 책임을 지지 않습니다.
어떠한 경우에도 당사의 총 누적 책임은 다음 중 더 큰 금액을 초과하지 않습니다: (A) 청구 발생 직전 12개월 동안 귀하가 당사에 지급한 총액, 또는 (B) 50 호주달러(AUD $50).
일부 관할권에서는 특정 보증이나 손해에 대한 배제 또는 제한을 허용하지 않습니다. 그러한 관할권에서 당사의 책임은 법률이 허용하는 최대 범위로 제한됩니다.
9. 준거법
본 EULA는 법률 저촉 원칙에 관계없이 오스트레일리아 웨스턴오스트레일리아주 법률의 적용을 받습니다. 본 EULA에 따라 발생하는 모든 분쟁은 웨스턴오스트레일리아주 법원의 전속 관할에 속합니다. 다만, 귀하의 관할권에서 강행적인 소비자 보호법이 귀하에게 추가적인 현지 권리를 부여하는 경우는 예외로 합니다.

App Store Additional Terms
This section applies only to copies of MarkNode obtained through the Apple App Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to App Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Apple Inc. ("Apple"). Apple is not a party to this EULA and is not responsible for the Software or its content.
The license granted to you in this EULA is limited to a non-transferable license to use the Software on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
Maintenance and Support. Document Node Pty Ltd — not Apple — is solely responsible for providing maintenance and support services with respect to the Software, to the extent required under applicable law and as described in this EULA. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software.
Warranty. Document Node Pty Ltd — not Apple — is responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under this EULA. In the event of any failure of the Software to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Software. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Document Node Pty Ltd's sole responsibility.
Product Claims. Document Node Pty Ltd — not Apple — is responsible for addressing any claims you or any third party may have relating to the Software or your possession and/or use of the Software, including but not limited to: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property. In the event of any third-party claim that the Software or your possession and use of the Software infringes a third party's intellectual property rights, Document Node Pty Ltd — not Apple — will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
Microsoft Store Additional Terms
This section applies only to copies of MarkNode obtained through the Microsoft Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to Microsoft Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Microsoft Corporation ("Microsoft"). Microsoft is not a party to this EULA, is not the licensor of the Software, and is not responsible for the Software or its content.
No Microsoft Warranty or Support. Microsoft provides no warranty with respect to the Software and has no obligation to provide maintenance, technical support, or other services for the Software. Any such obligations are Document Node Pty Ltd's sole responsibility as set out in this EULA.
No Microsoft Liability. Microsoft is not liable for any losses or damages arising from your use of, or inability to use, the Software. All liability (to the extent not excluded by applicable law) rests solely with Document Node Pty Ltd as described in the Limitation of Liability section of this EULA.
