Il presente Contratto di licenza con l'utente finale ("EULA") è un accordo legale tra te ("tu" o "Licenziatario") e Document Node Pty Ltd, società registrata nell'Australia Occidentale, Australia ("Document Node", "noi" o "nostro"), che disciplina l'utilizzo dell'applicazione desktop MarkNode (il "Software").
Installando, copiando o utilizzando il Software, accetti di essere vincolato dal presente EULA. Se non accetti, non installare né utilizzare il Software.
1. Concessione della licenza
1.1 Piano Free
Fatti salvi i termini del presente EULA, Document Node ti concede una licenza non esclusiva, non trasferibile e revocabile per installare e utilizzare il piano Free di MarkNode sui tuoi dispositivi personali senza alcun costo.
1.2 Licenza Pro (uso commerciale perpetuo)
All'acquisto di una licenza Pro, Document Node ti concede una licenza non esclusiva, non trasferibile e perpetua per installare e utilizzare MarkNode per scopi commerciali (incluso l'uso in un contesto professionale, aziendale o rivolto ai clienti), sul numero di dispositivi consentito dalla tua licenza, unitamente ad aggiornamenti a vita dell'applicazione senza costi aggiuntivi. La licenza Pro copre l'intera applicazione; non concede l'accesso alle funzionalità cloud ospitate o in abbonamento, che richiedono un abbonamento Ultimate attivo.
1.3 Abbonamento Ultimate
Dietro pagamento delle relative quote di abbonamento, Document Node ti concede una licenza non esclusiva e non trasferibile per utilizzare tutte le funzionalità di MarkNode, incluse quelle cloud e AI, per la durata del tuo abbonamento attivo. La presente licenza termina automaticamente se il tuo abbonamento scade o viene annullato.
2. Restrizioni
Non puoi:
- Copiare, modificare, unire, pubblicare, distribuire, concedere in sublicenza o vendere copie del Software, salvo quanto espressamente consentito dal presente EULA;
- Decodificare, decompilare, disassemblare o tentare di ricavare il codice sorgente del Software, salvo nella misura in cui tale attività sia espressamente consentita dalla legge applicabile nonostante la presente restrizione (ad esempio, ai sensi delle disposizioni applicabili in materia di interoperabilità);
- Rimuovere, alterare o oscurare eventuali avvisi di proprietà (inclusi gli avvisi di copyright) presenti nel Software;
- Utilizzare il Software per sviluppare un prodotto o servizio concorrente, o per assistere terzi nel farlo;
- Trasferire, cedere o concedere in sublicenza la tua licenza a terzi senza il nostro previo consenso scritto.
3. Proprietà
Il Software è concesso in licenza, non venduto. Document Node Pty Ltd conserva tutti i diritti, i titoli e gli interessi relativi al Software, inclusi tutti i diritti di proprietà intellettuale. Il presente EULA non ti trasferisce alcun diritto di proprietà.
4. Componenti di terze parti e open source
Il Software incorpora componenti di terze parti e open source. Tali componenti sono concessi in licenza secondo le rispettive licenze open source, riconosciute all'interno del Software (accessibili tramite la finestra Informazioni o un file di ringraziamenti incluso). L'utilizzo di tali componenti è soggetto alle rispettive licenze.
5. Aggiornamenti
Potremmo rilasciare aggiornamenti, patch o nuove versioni del Software. I licenziatari Pro ricevono aggiornamenti come descritto nelle condizioni di acquisto. Gli abbonati Ultimate ricevono aggiornamenti per la durata del loro abbonamento. Ci riserviamo il diritto di modificare o interrompere funzionalità con ragionevole preavviso.
6. Durata e risoluzione
Il presente EULA ha efficacia dalla data in cui installi o utilizzi per la prima volta il Software e prosegue fino alla sua risoluzione.
- Licenze Free e Pro — il presente EULA resta in vigore a tempo indeterminato salvo tua violazione dei relativi termini, nel qual caso si risolve automaticamente previa nostra comunicazione.
- Abbonamenti Ultimate — il presente EULA si risolve quando il tuo abbonamento termina o viene annullato.
Alla risoluzione, devi cessare di utilizzare il Software ed eliminarne tutte le copie. Le sezioni 3, 7, 8 e 9 sopravvivono alla risoluzione.
7. Esclusione di garanzie
IL SOFTWARE È FORNITO "COSÌ COM'È" E "COME DISPONIBILE", SENZA GARANZIE DI ALCUN TIPO, ESPRESSE O IMPLICITE, NELLA MISURA MASSIMA CONSENTITA DALLA LEGGE APPLICABILE, INCLUSE A TITOLO ESEMPLIFICATIVO LE GARANZIE DI COMMERCIABILITÀ, IDONEITÀ A UNO SCOPO PARTICOLARE, TITOLARITÀ E NON VIOLAZIONE. NON GARANTIAMO CHE IL SOFTWARE SARÀ ININTERROTTO, PRIVO DI ERRORI O PRIVO DI COMPONENTI DANNOSI, NÉ CHE I DIFETTI SARANNO CORRETTI.
Nulla nella presente sezione esclude o limita eventuali diritti che ti spettano ai sensi delle norme imperative applicabili di tutela dei consumatori (inclusa l'Australian Consumer Law).
8. Limitazione di responsabilità
NELLA MISURA MASSIMA CONSENTITA DALLA LEGGE APPLICABILE, DOCUMENT NODE PTY LTD NON SARÀ RESPONSABILE PER ALCUN DANNO INDIRETTO, INCIDENTALE, SPECIALE, CONSEQUENZIALE O PUNITIVO, NÉ PER PERDITE DI PROFITTI, RICAVI, DATI O AVVIAMENTO, DERIVANTI DA O CORRELATI AL TUO UTILIZZO O ALL'IMPOSSIBILITÀ DI UTILIZZARE IL SOFTWARE, ANCHE SE INFORMATA DELLA POSSIBILITÀ DI TALI DANNI.
IN NESSUN CASO LA NOSTRA RESPONSABILITÀ COMPLESSIVA TOTALE POTRÀ SUPERARE IL MAGGIORE TRA: (A) L'IMPORTO TOTALE DA TE VERSATOCI NEI DODICI MESI PRECEDENTI IL RECLAMO, OPPURE (B) AUD $50.
Alcune giurisdizioni non consentono l'esclusione o la limitazione di determinate garanzie o danni. In tali giurisdizioni, la nostra responsabilità è limitata nella misura massima consentita dalla legge.
9. Legge applicabile
Il presente EULA è disciplinato dalle leggi dell'Australia Occidentale, Australia, senza riguardo ai principi sui conflitti di legge. Qualsiasi controversia derivante dal presente EULA sarà soggetta alla giurisdizione esclusiva dei tribunali dell'Australia Occidentale, salvo che le norme imperative di tutela dei consumatori nella tua giurisdizione ti riconoscano ulteriori diritti locali.

App Store Additional Terms
This section applies only to copies of MarkNode obtained through the Apple App Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to App Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Apple Inc. ("Apple"). Apple is not a party to this EULA and is not responsible for the Software or its content.
The license granted to you in this EULA is limited to a non-transferable license to use the Software on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
Maintenance and Support. Document Node Pty Ltd — not Apple — is solely responsible for providing maintenance and support services with respect to the Software, to the extent required under applicable law and as described in this EULA. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software.
Warranty. Document Node Pty Ltd — not Apple — is responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under this EULA. In the event of any failure of the Software to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Software. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Document Node Pty Ltd's sole responsibility.
Product Claims. Document Node Pty Ltd — not Apple — is responsible for addressing any claims you or any third party may have relating to the Software or your possession and/or use of the Software, including but not limited to: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property. In the event of any third-party claim that the Software or your possession and use of the Software infringes a third party's intellectual property rights, Document Node Pty Ltd — not Apple — will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
Microsoft Store Additional Terms
This section applies only to copies of MarkNode obtained through the Microsoft Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to Microsoft Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Microsoft Corporation ("Microsoft"). Microsoft is not a party to this EULA, is not the licensor of the Software, and is not responsible for the Software or its content.
No Microsoft Warranty or Support. Microsoft provides no warranty with respect to the Software and has no obligation to provide maintenance, technical support, or other services for the Software. Any such obligations are Document Node Pty Ltd's sole responsibility as set out in this EULA.
No Microsoft Liability. Microsoft is not liable for any losses or damages arising from your use of, or inability to use, the Software. All liability (to the extent not excluded by applicable law) rests solely with Document Node Pty Ltd as described in the Limitation of Liability section of this EULA.
