Dieser Endbenutzer-Lizenzvertrag ("EULA") ist eine rechtliche Vereinbarung zwischen Ihnen ("Sie" oder "Lizenznehmer") und Document Node Pty Ltd, einem in Westaustralien, Australien, eingetragenen Unternehmen ("Document Node", "wir", "uns" oder "unser"), die Ihre Nutzung der Desktop-Anwendung MarkNode (die "Software") regelt.
Durch die Installation, das Kopieren oder die Nutzung der Software erklären Sie sich mit diesem EULA einverstanden. Wenn Sie nicht einverstanden sind, installieren oder nutzen Sie die Software nicht.
1. Lizenzgewährung
1.1 Kostenlose Version
Vorbehaltlich der Bedingungen dieses EULA gewährt Document Node Ihnen eine nicht-exklusive, nicht übertragbare, widerrufliche Lizenz zur Installation und Nutzung der kostenlosen Version von MarkNode auf Ihren persönlichen Geräten ohne Entgelt.
1.2 Pro-Lizenz (unbefristete kommerzielle Nutzung)
Mit dem Erwerb einer Pro-Lizenz gewährt Document Node Ihnen eine nicht-exklusive, nicht übertragbare, unbefristete Lizenz zur Installation und Nutzung von MarkNode zu kommerziellen Zwecken (einschließlich der Nutzung im beruflichen, geschäftlichen oder kundenbezogenen Kontext) auf der durch Ihre Lizenz zulässigen Anzahl von Geräten, zusammen mit lebenslangen Updates der Anwendung ohne zusätzliche Kosten. Die Pro-Lizenz umfasst die vollständige Anwendung; sie gewährt keinen Zugang zu gehosteten Cloud- oder Abonnementfunktionen, die ein aktives Ultimate-Abonnement erfordern.
1.3 Ultimate-Abonnement
Nach Zahlung der jeweiligen Abonnementgebühren gewährt Document Node Ihnen eine nicht-exklusive, nicht übertragbare Lizenz zur Nutzung aller MarkNode-Funktionen, einschließlich Cloud- und KI-Funktionen, für die Dauer Ihres aktiven Abonnements. Diese Lizenz endet automatisch, wenn Ihr Abonnement ausläuft oder gekündigt wird.
2. Beschränkungen
Sie dürfen nicht:
- Kopien der Software anfertigen, verändern, zusammenführen, veröffentlichen, verbreiten, unterlizenzieren oder verkaufen, außer soweit dies durch diesen EULA ausdrücklich gestattet ist;
- die Software zurückentwickeln, dekompilieren, disassemblieren oder versuchen, den Quellcode der Software abzuleiten, außer soweit eine solche Tätigkeit ungeachtet dieser Beschränkung nach geltendem Recht ausdrücklich zulässig ist (beispielsweise nach den anwendbaren Bestimmungen zur Interoperabilität);
- Eigentumshinweise (einschließlich Urheberrechtshinweise) in der Software entfernen, ändern oder unkenntlich machen;
- die Software zur Entwicklung eines konkurrierenden Produkts oder Dienstes verwenden oder Dritte dabei unterstützen;
- Ihre Lizenz ohne unsere vorherige schriftliche Zustimmung an Dritte übertragen, abtreten oder unterlizenzieren.
3. Eigentum
Die Software wird lizenziert, nicht verkauft. Document Node Pty Ltd behält sämtliche Rechte, Titel und Ansprüche an der Software, einschließlich aller Rechte des geistigen Eigentums. Dieser EULA überträgt Ihnen keinerlei Eigentumsrechte.
4. Komponenten von Drittanbietern und Open-Source-Komponenten
Die Software enthält Komponenten von Drittanbietern und Open-Source-Komponenten. Diese Komponenten sind unter ihren jeweiligen Open-Source-Lizenzen lizenziert, die innerhalb der Software genannt werden (zugänglich über den Info-Dialog oder eine mitgelieferte Danksagungsdatei). Ihre Nutzung dieser Komponenten unterliegt den jeweiligen Lizenzen.
5. Updates
Wir können Updates, Patches oder neue Versionen der Software veröffentlichen. Pro-Lizenznehmer erhalten Updates gemäß ihren Kaufbedingungen. Ultimate-Abonnenten erhalten Updates für die Dauer ihres Abonnements. Wir behalten uns das Recht vor, Funktionen mit angemessener Vorankündigung zu ändern oder einzustellen.
6. Laufzeit und Beendigung
Dieser EULA tritt mit dem Datum in Kraft, an dem Sie die Software erstmals installieren oder nutzen, und gilt bis zu seiner Beendigung.
- Kostenlose und Pro-Lizenzen — dieser EULA bleibt unbefristet in Kraft, es sei denn, Sie verstoßen gegen seine Bestimmungen; in diesem Fall endet er automatisch mit unserer Mitteilung.
- Ultimate-Abonnements — dieser EULA endet, wenn Ihr Abonnement ausläuft oder gekündigt wird.
Nach Beendigung müssen Sie die Nutzung der Software einstellen und alle Kopien löschen. Die Abschnitte 3, 7, 8 und 9 gelten über die Beendigung hinaus fort.
7. Gewährleistungsausschluss
DIE SOFTWARE WIRD "WIE BESEHEN" UND "WIE VERFÜGBAR" OHNE JEGLICHE AUSDRÜCKLICHE ODER STILLSCHWEIGENDE GEWÄHRLEISTUNG BEREITGESTELLT, SOWEIT NACH GELTENDEM RECHT ZULÄSSIG, EINSCHLIESSLICH, ABER NICHT BESCHRÄNKT AUF GEWÄHRLEISTUNGEN DER MARKTGÄNGIGKEIT, DER EIGNUNG FÜR EINEN BESTIMMTEN ZWECK, DES RECHTSMANGELFREIEN EIGENTUMS UND DER NICHTVERLETZUNG VON RECHTEN DRITTER. WIR GEWÄHRLEISTEN NICHT, DASS DIE SOFTWARE UNUNTERBROCHEN, FEHLERFREI ODER FREI VON SCHÄDLICHEN KOMPONENTEN IST ODER DASS MÄNGEL BEHOBEN WERDEN.
Nichts in diesem Abschnitt schließt Rechte aus oder beschränkt Rechte, die Ihnen nach zwingendem anwendbarem Verbraucherschutzrecht (einschließlich des australischen Verbraucherrechts) zustehen.
8. Haftungsbeschränkung
SOWEIT NACH GELTENDEM RECHT ZULÄSSIG, HAFTET DOCUMENT NODE PTY LTD NICHT FÜR INDIREKTE SCHÄDEN, BEILÄUFIG ENTSTANDENE SCHÄDEN, SONDERSCHÄDEN, FOLGESCHÄDEN ODER STRAFSCHADENSERSATZ ODER FÜR ENTGANGENEN GEWINN, UMSATZVERLUSTE, DATENVERLUSTE ODER RUFSCHÄDIGUNG, DIE SICH AUS IHRER NUTZUNG ODER DER UNMÖGLICHKEIT DER NUTZUNG DER SOFTWARE ERGEBEN ODER DAMIT ZUSAMMENHÄNGEN, SELBST WENN AUF DIE MÖGLICHKEIT SOLCHER SCHÄDEN HINGEWIESEN WURDE.
UNSERE GESAMTHAFTUNG ÜBERSTEIGT IN KEINEM FALL DEN HÖHEREN DER FOLGENDEN BETRÄGE: (A) DEN GESAMTBETRAG, DEN SIE UNS IN DEN ZWÖLF MONATEN VOR DER GELTENDMACHUNG DES ANSPRUCHS GEZAHLT HABEN, ODER (B) AUD 50.
Einige Rechtsordnungen lassen den Ausschluss oder die Beschränkung bestimmter Gewährleistungen oder Schäden nicht zu. In diesen Rechtsordnungen ist unsere Haftung auf das gesetzlich zulässige Höchstmaß beschränkt.
9. Anwendbares Recht
Dieser EULA unterliegt dem Recht von Westaustralien, Australien, unter Ausschluss der Kollisionsnormen. Für alle Streitigkeiten aus diesem EULA sind ausschließlich die Gerichte von Westaustralien zuständig, sofern Ihnen nicht zwingende Verbraucherschutzgesetze in Ihrer Rechtsordnung zusätzliche lokale Rechte einräumen.

App Store Additional Terms
This section applies only to copies of MarkNode obtained through the Apple App Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to App Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Apple Inc. ("Apple"). Apple is not a party to this EULA and is not responsible for the Software or its content.
The license granted to you in this EULA is limited to a non-transferable license to use the Software on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
Maintenance and Support. Document Node Pty Ltd — not Apple — is solely responsible for providing maintenance and support services with respect to the Software, to the extent required under applicable law and as described in this EULA. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software.
Warranty. Document Node Pty Ltd — not Apple — is responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under this EULA. In the event of any failure of the Software to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Software. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Document Node Pty Ltd's sole responsibility.
Product Claims. Document Node Pty Ltd — not Apple — is responsible for addressing any claims you or any third party may have relating to the Software or your possession and/or use of the Software, including but not limited to: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property. In the event of any third-party claim that the Software or your possession and use of the Software infringes a third party's intellectual property rights, Document Node Pty Ltd — not Apple — will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Developer Contact. Any questions, complaints, or claims with respect to the Software should be directed to: support@documentnode.io.
Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
Microsoft Store Additional Terms
This section applies only to copies of MarkNode obtained through the Microsoft Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to Microsoft Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Microsoft Corporation ("Microsoft"). Microsoft is not a party to this EULA, is not the licensor of the Software, and is not responsible for the Software or its content.
No Microsoft Warranty or Support. Microsoft provides no warranty with respect to the Software and has no obligation to provide maintenance, technical support, or other services for the Software. Any such obligations are Document Node Pty Ltd's sole responsibility as set out in this EULA.
No Microsoft Liability. Microsoft is not liable for any losses or damages arising from your use of, or inability to use, the Software. All liability (to the extent not excluded by applicable law) rests solely with Document Node Pty Ltd as described in the Limitation of Liability section of this EULA.
