本エンドユーザーライセンス契約（以下「本EULA」）は、お客様（以下「お客様」または「ライセンシー」）と、オーストラリア・西オーストラリア州で登記された企業である Document Node Pty Ltd（以下「Document Node」、「当社」）との間の法的合意であり、MarkNode デスクトップアプリケーション（以下「本ソフトウェア」）のご利用について定めるものです。
本ソフトウェアをインストール、複製、または使用することにより、お客様は本EULAに拘束されることに同意したものとみなされます。同意されない場合は、本ソフトウェアをインストールまたは使用しないでください。
1. ライセンスの許諾
1.1 無料プラン
本EULAの条件に従い、Document Node は、お客様に対し、MarkNode の無料プランをお客様の個人所有デバイスに無償でインストールおよび使用するための、非独占的、譲渡不能かつ取消可能なライセンスを許諾します。
1.2 Pro ライセンス（買い切り型・商用利用）
Pro ライセンスのご購入により、Document Node は、お客様に対し、お客様のライセンスで許可された台数のデバイスにおいて MarkNode を商用目的（専門的、業務上、または顧客対応の文脈での使用を含む）でインストールおよび使用するための、非独占的、譲渡不能かつ永続的なライセンスを、アプリケーションの生涯アップデートを追加費用なしで含めて許諾します。Pro ライセンスはアプリケーション全体を対象としますが、ホスト型のクラウド機能やサブスクリプション機能へのアクセス権は付与されません。それらには有効な Ultimate サブスクリプションが必要です。
1.3 Ultimate サブスクリプション
所定のサブスクリプション料金のお支払いにより、Document Node は、お客様に対し、サブスクリプションが有効な期間中、クラウド機能および AI 機能を含む MarkNode の全機能を使用するための、非独占的かつ譲渡不能なライセンスを許諾します。本ライセンスは、サブスクリプションが失効または解約された場合、自動的に終了します。
2. 制限事項
お客様は、以下の行為を行うことはできません。
- 本EULAで明示的に許可されている場合を除き、本ソフトウェアの複製、改変、結合、公開、頒布、サブライセンス、または販売を行うこと。
- 本ソフトウェアのリバースエンジニアリング、逆コンパイル、逆アセンブル、またはソースコードの導出を試みること。ただし、本制限にかかわらず適用法により明示的に認められる範囲（例えば、適用される相互運用性に関する規定に基づく場合）を除きます。
- 本ソフトウェア内の権利表示（著作権表示を含む）を削除、改変、または不明瞭にすること。
- 競合する製品またはサービスを開発するために本ソフトウェアを使用すること、または第三者による当該行為を支援すること。
- 当社の事前の書面による同意なく、お客様のライセンスを第三者に移転、譲渡、またはサブライセンスすること。
3. 所有権
本ソフトウェアは販売されるものではなく、ライセンス許諾されるものです。Document Node Pty Ltd は、すべての知的財産権を含め、本ソフトウェアに関するすべての権利、権原および利益を保持します。本EULAは、お客様に対していかなる所有権も移転しません。
4. サードパーティおよびオープンソースコンポーネント
本ソフトウェアには、サードパーティおよびオープンソースのコンポーネントが組み込まれています。これらのコンポーネントは、それぞれのオープンソースライセンスに基づいて提供されており、その内容は本ソフトウェア内（バージョン情報ダイアログまたは同梱の謝辞ファイルから参照可能）に表示されています。これらのコンポーネントのご利用は、それぞれのライセンスに従うものとします。
5. アップデート
当社は、本ソフトウェアのアップデート、パッチ、または新バージョンをリリースする場合があります。Pro ライセンス保有者は、購入条件に記載のとおりアップデートを受領します。Ultimate サブスクリプション加入者は、サブスクリプション期間中アップデートを受領します。当社は、合理的な予告をもって機能を変更または終了する権利を留保します。
6. 期間および終了
本EULAは、お客様が最初に本ソフトウェアをインストールまたは使用した日から効力を生じ、終了するまで継続します。
- 無料および Pro ライセンス — お客様が本EULAの条件に違反しない限り、本EULAは無期限に効力を有します。違反した場合、当社からの通知をもって自動的に終了します。
- Ultimate サブスクリプション — サブスクリプションが終了または解約された時点で本EULAは終了します。
終了後、お客様は本ソフトウェアの使用を中止し、すべての複製物を削除しなければなりません。第3条、第7条、第8条および第9条は、終了後も存続します。
7. 保証の否認
本ソフトウェアは、適用法により認められる最大限の範囲において、明示黙示を問わずいかなる種類の保証も伴わず、「現状有姿」および「提供可能な状態」で提供されます。これには、商品性、特定目的への適合性、権原、および非侵害の保証が含まれますが、これらに限られません。当社は、本ソフトウェアが中断なく動作すること、エラーがないこと、有害なコンポーネントを含まないこと、または不具合が修正されることを保証しません。
本条のいかなる規定も、強行法規たる適用消費者保護法（オーストラリア消費者法を含む）に基づきお客様が有し得る権利を排除または制限するものではありません。
8. 責任の制限
適用法により認められる最大限の範囲において、DOCUMENT NODE PTY LTD は、本ソフトウェアの使用または使用不能に起因または関連して生じる間接的、付随的、特別、結果的または懲罰的損害、あるいは利益、収益、データもしくは信用の喪失について、たとえかかる損害の可能性について知らされていた場合であっても、一切の責任を負いません。
いかなる場合においても、当社の総累積責任額は、(A) 請求発生前の12か月間にお客様が当社に支払った総額、または (B) 50豪ドル のいずれか高い方を超えないものとします。
一部の法域では、特定の保証または損害の除外もしくは制限が認められていません。かかる法域においては、当社の責任は法律で認められる最大限の範囲に制限されます。
9. 準拠法
本EULAは、抵触法の原則にかかわらず、オーストラリア・西オーストラリア州の法律に準拠します。本EULAに起因する紛争は、西オーストラリア州の裁判所の専属的管轄に服するものとします。ただし、お客様の法域における強行法規たる消費者保護法がお客様に追加の現地の権利を付与する場合を除きます。

App Store Additional Terms
This section applies only to copies of MarkNode obtained through the Apple App Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to App Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Apple Inc. ("Apple"). Apple is not a party to this EULA and is not responsible for the Software or its content.
The license granted to you in this EULA is limited to a non-transferable license to use the Software on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
Maintenance and Support. Document Node Pty Ltd — not Apple — is solely responsible for providing maintenance and support services with respect to the Software, to the extent required under applicable law and as described in this EULA. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software.
Warranty. Document Node Pty Ltd — not Apple — is responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under this EULA. In the event of any failure of the Software to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Software. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Document Node Pty Ltd's sole responsibility.
Product Claims. Document Node Pty Ltd — not Apple — is responsible for addressing any claims you or any third party may have relating to the Software or your possession and/or use of the Software, including but not limited to: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property. In the event of any third-party claim that the Software or your possession and use of the Software infringes a third party's intellectual property rights, Document Node Pty Ltd — not Apple — will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
Microsoft Store Additional Terms
This section applies only to copies of MarkNode obtained through the Microsoft Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to Microsoft Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Microsoft Corporation ("Microsoft"). Microsoft is not a party to this EULA, is not the licensor of the Software, and is not responsible for the Software or its content.
No Microsoft Warranty or Support. Microsoft provides no warranty with respect to the Software and has no obligation to provide maintenance, technical support, or other services for the Software. Any such obligations are Document Node Pty Ltd's sole responsibility as set out in this EULA.
No Microsoft Liability. Microsoft is not liable for any losses or damages arising from your use of, or inability to use, the Software. All liability (to the extent not excluded by applicable law) rests solely with Document Node Pty Ltd as described in the Limitation of Liability section of this EULA.
