Este Contrato de Licença de Usuário Final ("EULA") é um acordo legal entre você ("você" ou "Licenciado") e a Document Node Pty Ltd, uma empresa registrada na Austrália Ocidental, Austrália ("Document Node", "nós" ou "nosso"), que rege o seu uso do aplicativo para computador MarkNode (o "Software").
Ao instalar, copiar ou usar o Software, você concorda em se vincular a este EULA. Se você não concordar, não instale nem use o Software.
1. Concessão de Licença
1.1 Plano Gratuito
Sujeito aos termos deste EULA, a Document Node concede a você uma licença não exclusiva, intransferível e revogável para instalar e usar o plano Gratuito do MarkNode em seus dispositivos pessoais, sem custo.
1.2 Licença Pro (Uso Comercial Perpétuo)
Mediante a compra de uma licença Pro, a Document Node concede a você uma licença não exclusiva, intransferível e perpétua para instalar e usar o MarkNode para fins comerciais (incluindo uso em contexto profissional, empresarial ou de atendimento a clientes), no número de dispositivos permitido por sua licença, juntamente com atualizações vitalícias do aplicativo sem custo adicional. A licença Pro abrange o aplicativo completo; ela não concede acesso a recursos hospedados em nuvem ou por assinatura, os quais exigem uma assinatura Ultimate ativa.
1.3 Assinatura Ultimate
Mediante o pagamento das taxas de assinatura aplicáveis, a Document Node concede a você uma licença não exclusiva e intransferível para usar todos os recursos do MarkNode, incluindo recursos de nuvem e de IA, durante a vigência de sua assinatura ativa. Esta licença é encerrada automaticamente se sua assinatura expirar ou for cancelada.
2. Restrições
Você não pode:
- Copiar, modificar, mesclar, publicar, distribuir, sublicenciar ou vender cópias do Software, exceto conforme expressamente permitido por este EULA;
- Fazer engenharia reversa, descompilar, desmontar ou tentar derivar o código-fonte do Software, exceto na medida em que tal atividade seja expressamente permitida pela lei aplicável, não obstante esta restrição (por exemplo, sob disposições aplicáveis de interoperabilidade);
- Remover, alterar ou ocultar quaisquer avisos de propriedade (incluindo avisos de direitos autorais) no Software;
- Usar o Software para desenvolver um produto ou serviço concorrente, ou para auxiliar terceiros a fazê-lo;
- Transferir, ceder ou sublicenciar sua licença a terceiros sem nosso consentimento prévio por escrito.
3. Propriedade
O Software é licenciado, não vendido. A Document Node Pty Ltd mantém todos os direitos, títulos e interesses sobre o Software, incluindo todos os direitos de propriedade intelectual. Este EULA não transfere a você qualquer participação na propriedade.
4. Componentes de Terceiros e de Código Aberto
O Software incorpora componentes de terceiros e de código aberto. Esses componentes são licenciados sob suas respectivas licenças de código aberto, que são reconhecidas dentro do Software (acessíveis pela caixa de diálogo Sobre ou por um arquivo de agradecimentos incluído). O seu uso desses componentes está sujeito às respectivas licenças.
5. Atualizações
Podemos lançar atualizações, correções ou novas versões do Software. Os licenciados Pro recebem atualizações conforme descrito nos termos de sua compra. Os assinantes Ultimate recebem atualizações durante a vigência de sua assinatura. Reservamo-nos o direito de alterar ou descontinuar recursos mediante aviso razoável.
6. Vigência e Rescisão
Este EULA entra em vigor na data em que você instala ou usa o Software pela primeira vez e permanece válido até ser rescindido.
- Licenças Gratuita e Pro — este EULA permanece em vigor por prazo indeterminado, a menos que você viole seus termos, caso em que será rescindido automaticamente mediante notificação nossa.
- Assinaturas Ultimate — este EULA é rescindido quando sua assinatura termina ou é cancelada.
Após a rescisão, você deve parar de usar o Software e excluir todas as cópias. As seções 3, 7, 8 e 9 permanecem em vigor após a rescisão.
7. Isenção de Garantias
O SOFTWARE É FORNECIDO "NO ESTADO EM QUE SE ENCONTRA" E "CONFORME DISPONÍVEL", SEM GARANTIAS DE QUALQUER NATUREZA, EXPRESSAS OU IMPLÍCITAS, NA MÁXIMA EXTENSÃO PERMITIDA PELA LEI APLICÁVEL, INCLUINDO, ENTRE OUTRAS, GARANTIAS DE COMERCIABILIDADE, ADEQUAÇÃO A UMA FINALIDADE ESPECÍFICA, TITULARIDADE E NÃO VIOLAÇÃO. NÃO GARANTIMOS QUE O SOFTWARE SERÁ ININTERRUPTO, LIVRE DE ERROS OU LIVRE DE COMPONENTES NOCIVOS, NEM QUE OS DEFEITOS SERÃO CORRIGIDOS.
Nada nesta seção exclui ou limita quaisquer direitos que você possa ter sob leis imperativas de proteção ao consumidor aplicáveis (incluindo a Lei do Consumidor Australiana).
8. Limitação de Responsabilidade
NA MÁXIMA EXTENSÃO PERMITIDA PELA LEI APLICÁVEL, A DOCUMENT NODE PTY LTD NÃO SERÁ RESPONSÁVEL POR QUAISQUER DANOS INDIRETOS, INCIDENTAIS, ESPECIAIS, CONSEQUENCIAIS OU PUNITIVOS, NEM POR PERDA DE LUCROS, RECEITAS, DADOS OU REPUTAÇÃO, DECORRENTES OU RELACIONADOS AO SEU USO OU À IMPOSSIBILIDADE DE USO DO SOFTWARE, MESMO QUE ADVERTIDA DA POSSIBILIDADE DE TAIS DANOS.
EM NENHUMA HIPÓTESE NOSSA RESPONSABILIDADE TOTAL AGREGADA EXCEDERÁ O MAIOR ENTRE: (A) O VALOR TOTAL QUE VOCÊ NOS PAGOU NOS DOZE MESES ANTERIORES À RECLAMAÇÃO, OU (B) AUD $50.
Algumas jurisdições não permitem a exclusão ou limitação de determinadas garantias ou danos. Nessas jurisdições, nossa responsabilidade é limitada à extensão máxima permitida por lei.
9. Legislação Aplicável
Este EULA é regido pelas leis da Austrália Ocidental, Austrália, sem consideração a princípios de conflito de leis. Qualquer disputa decorrente deste EULA estará sujeita à jurisdição exclusiva dos tribunais da Austrália Ocidental, salvo se leis imperativas de proteção ao consumidor em sua jurisdição lhe concederem direitos locais adicionais.

App Store Additional Terms
This section applies only to copies of MarkNode obtained through the Apple App Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to App Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Apple Inc. ("Apple"). Apple is not a party to this EULA and is not responsible for the Software or its content.
The license granted to you in this EULA is limited to a non-transferable license to use the Software on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
Maintenance and Support. Document Node Pty Ltd — not Apple — is solely responsible for providing maintenance and support services with respect to the Software, to the extent required under applicable law and as described in this EULA. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software.
Warranty. Document Node Pty Ltd — not Apple — is responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under this EULA. In the event of any failure of the Software to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Software. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Document Node Pty Ltd's sole responsibility.
Product Claims. Document Node Pty Ltd — not Apple — is responsible for addressing any claims you or any third party may have relating to the Software or your possession and/or use of the Software, including but not limited to: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property. In the event of any third-party claim that the Software or your possession and use of the Software infringes a third party's intellectual property rights, Document Node Pty Ltd — not Apple — will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
Microsoft Store Additional Terms
This section applies only to copies of MarkNode obtained through the Microsoft Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to Microsoft Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Microsoft Corporation ("Microsoft"). Microsoft is not a party to this EULA, is not the licensor of the Software, and is not responsible for the Software or its content.
No Microsoft Warranty or Support. Microsoft provides no warranty with respect to the Software and has no obligation to provide maintenance, technical support, or other services for the Software. Any such obligations are Document Node Pty Ltd's sole responsibility as set out in this EULA.
No Microsoft Liability. Microsoft is not liable for any losses or damages arising from your use of, or inability to use, the Software. All liability (to the extent not excluded by applicable law) rests solely with Document Node Pty Ltd as described in the Limitation of Liability section of this EULA.
