Ce contrat de licence utilisateur final (« CLUF ») est un accord juridique entre vous (« vous » ou « le Licencié ») et Document Node Pty Ltd, une société immatriculée en Australie-Occidentale, Australie (« Document Node », « nous » ou « notre »), régissant votre utilisation de l'application de bureau MarkNode (le « Logiciel »).
En installant, copiant ou utilisant le Logiciel, vous acceptez d'être lié par le présent CLUF. Si vous n'acceptez pas ces conditions, n'installez pas et n'utilisez pas le Logiciel.
1. Octroi de licence
1.1 Formule gratuite
Sous réserve des conditions du présent CLUF, Document Node vous accorde une licence non exclusive, non transférable et révocable pour installer et utiliser la formule gratuite de MarkNode sur vos appareils personnels, sans frais.
1.2 Licence Pro (usage commercial perpétuel)
À l'achat d'une licence Pro, Document Node vous accorde une licence non exclusive, non transférable et perpétuelle pour installer et utiliser MarkNode à des fins commerciales (y compris dans un contexte professionnel, d'entreprise ou en relation avec des clients), sur le nombre d'appareils autorisé par votre licence, ainsi que les mises à jour à vie de l'application sans frais supplémentaires. La licence Pro couvre l'application complète ; elle ne donne pas accès aux fonctionnalités cloud hébergées ou sur abonnement, qui nécessitent un abonnement Ultimate actif.
1.3 Abonnement Ultimate
Après paiement des frais d'abonnement applicables, Document Node vous accorde une licence non exclusive et non transférable pour utiliser toutes les fonctionnalités de MarkNode, y compris les fonctionnalités cloud et d'IA, pendant la durée de votre abonnement actif. Cette licence prend fin automatiquement si votre abonnement expire ou est résilié.
2. Restrictions
Vous n'êtes pas autorisé à :
- copier, modifier, fusionner, publier, distribuer, sous-licencier ou vendre des copies du Logiciel, sauf autorisation expresse du présent CLUF ;
- procéder à l'ingénierie inverse, décompiler, désassembler ou tenter de dériver le code source du Logiciel, sauf dans la mesure où cette activité est expressément autorisée par la loi applicable nonobstant la présente restriction (par exemple, en vertu des dispositions applicables relatives à l'interopérabilité) ;
- supprimer, modifier ou masquer toute mention de propriété (y compris les mentions de droit d'auteur) figurant dans le Logiciel ;
- utiliser le Logiciel pour développer un produit ou service concurrent, ou pour aider un tiers à le faire ;
- transférer, céder ou sous-licencier votre licence à un tiers sans notre consentement écrit préalable.
3. Propriété
Le Logiciel est concédé sous licence, et non vendu. Document Node Pty Ltd conserve l'intégralité des droits, titres et intérêts relatifs au Logiciel, y compris tous les droits de propriété intellectuelle. Le présent CLUF ne vous transfère aucun droit de propriété.
4. Composants tiers et open source
Le Logiciel intègre des composants tiers et open source. Ces composants sont concédés sous leurs licences open source respectives, qui sont mentionnées dans le Logiciel (accessibles via la boîte de dialogue À propos ou un fichier de remerciements fourni). Votre utilisation de ces composants est soumise à leurs licences respectives.
5. Mises à jour
Nous pouvons publier des mises à jour, des correctifs ou de nouvelles versions du Logiciel. Les titulaires d'une licence Pro reçoivent les mises à jour selon les conditions de leur achat. Les abonnés Ultimate reçoivent les mises à jour pendant la durée de leur abonnement. Nous nous réservons le droit de modifier ou d'interrompre des fonctionnalités moyennant un préavis raisonnable.
6. Durée et résiliation
Le présent CLUF prend effet à la date à laquelle vous installez ou utilisez le Logiciel pour la première fois et demeure en vigueur jusqu'à sa résiliation.
- Licences gratuites et Pro — le présent CLUF reste en vigueur indéfiniment, sauf en cas de manquement de votre part à ses conditions, auquel cas il prend fin automatiquement sur notification de notre part.
- Abonnements Ultimate — le présent CLUF prend fin lorsque votre abonnement se termine ou est résilié.
À la résiliation, vous devez cesser d'utiliser le Logiciel et en supprimer toutes les copies. Les sections 3, 7, 8 et 9 survivent à la résiliation.
7. Exclusion de garanties
LE LOGICIEL EST FOURNI « EN L'ÉTAT » ET « SELON DISPONIBILITÉ », SANS GARANTIE D'AUCUNE SORTE, EXPRESSE OU IMPLICITE, DANS TOUTE LA MESURE PERMISE PAR LA LOI APPLICABLE, Y COMPRIS, SANS S'Y LIMITER, LES GARANTIES DE QUALITÉ MARCHANDE, D'ADÉQUATION À UN USAGE PARTICULIER, DE TITRE ET DE NON-CONTREFAÇON. NOUS NE GARANTISSONS PAS QUE LE LOGICIEL FONCTIONNERA SANS INTERRUPTION, SANS ERREUR OU SANS COMPOSANTS NUISIBLES, NI QUE LES DÉFAUTS SERONT CORRIGÉS.
Aucune disposition de la présente section n'exclut ni ne limite les droits dont vous pourriez bénéficier en vertu du droit impératif applicable en matière de protection des consommateurs (y compris le droit australien de la consommation).
8. Limitation de responsabilité
DANS TOUTE LA MESURE PERMISE PAR LA LOI APPLICABLE, DOCUMENT NODE PTY LTD NE SAURAIT ÊTRE TENUE RESPONSABLE DE TOUT DOMMAGE INDIRECT, ACCESSOIRE, SPÉCIAL, CONSÉCUTIF OU PUNITIF, NI DE TOUTE PERTE DE PROFITS, DE REVENUS, DE DONNÉES OU DE CLIENTÈLE, DÉCOULANT DE VOTRE UTILISATION OU DE VOTRE INCAPACITÉ À UTILISER LE LOGICIEL, OU S'Y RAPPORTANT, MÊME SI ELLE A ÉTÉ INFORMÉE DE LA POSSIBILITÉ DE TELS DOMMAGES.
EN AUCUN CAS NOTRE RESPONSABILITÉ GLOBALE TOTALE NE POURRA EXCÉDER LE PLUS ÉLEVÉ DES MONTANTS SUIVANTS : (A) LE MONTANT TOTAL QUE VOUS NOUS AVEZ VERSÉ AU COURS DES DOUZE MOIS PRÉCÉDANT LA RÉCLAMATION, OU (B) 50 AUD.
Certaines juridictions n'autorisent pas l'exclusion ou la limitation de certaines garanties ou de certains dommages. Dans ces juridictions, notre responsabilité est limitée dans toute la mesure permise par la loi.
9. Droit applicable
Le présent CLUF est régi par le droit de l'Australie-Occidentale, Australie, sans égard aux principes de conflit de lois. Tout litige découlant du présent CLUF relève de la compétence exclusive des tribunaux d'Australie-Occidentale, sauf si les lois impératives de protection des consommateurs de votre juridiction vous accordent des droits locaux supplémentaires.

App Store Additional Terms
This section applies only to copies of MarkNode obtained through the Apple App Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to App Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Apple Inc. ("Apple"). Apple is not a party to this EULA and is not responsible for the Software or its content.
The license granted to you in this EULA is limited to a non-transferable license to use the Software on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
Maintenance and Support. Document Node Pty Ltd — not Apple — is solely responsible for providing maintenance and support services with respect to the Software, to the extent required under applicable law and as described in this EULA. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software.
Warranty. Document Node Pty Ltd — not Apple — is responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under this EULA. In the event of any failure of the Software to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Software. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Document Node Pty Ltd's sole responsibility.
Product Claims. Document Node Pty Ltd — not Apple — is responsible for addressing any claims you or any third party may have relating to the Software or your possession and/or use of the Software, including but not limited to: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property. In the event of any third-party claim that the Software or your possession and use of the Software infringes a third party's intellectual property rights, Document Node Pty Ltd — not Apple — will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
Microsoft Store Additional Terms
This section applies only to copies of MarkNode obtained through the Microsoft Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to Microsoft Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Microsoft Corporation ("Microsoft"). Microsoft is not a party to this EULA, is not the licensor of the Software, and is not responsible for the Software or its content.
No Microsoft Warranty or Support. Microsoft provides no warranty with respect to the Software and has no obligation to provide maintenance, technical support, or other services for the Software. Any such obligations are Document Node Pty Ltd's sole responsibility as set out in this EULA.
No Microsoft Liability. Microsoft is not liable for any losses or damages arising from your use of, or inability to use, the Software. All liability (to the extent not excluded by applicable law) rests solely with Document Node Pty Ltd as described in the Limitation of Liability section of this EULA.
