本最终用户许可协议("EULA")是您("您"或"被许可方")与在澳大利亚西澳州注册的公司 Document Node Pty Ltd("Document Node"、"我们"或"我们的")之间订立的法律协议,用以规范您对 MarkNode 桌面应用程序("本软件")的使用。

安装、复制或使用本软件即表示您同意受本 EULA 约束。如您不同意,请勿安装或使用本软件。

1. 许可授予

1.1 免费版

在遵守本 EULA 条款的前提下,Document Node 授予您一项非独占、不可转让、可撤销的许可,允许您免费在个人设备上安装和使用 MarkNode 免费版。

1.2 专业版许可(永久商业使用)

购买专业版许可后,Document Node 授予您一项非独占、不可转让的永久许可,允许您在许可所允许的设备数量上安装并将 MarkNode 用于商业目的(包括在专业、商务或面向客户的场景中使用),并可终身免费获得应用程序更新。专业版许可涵盖完整的应用程序;但不包括托管云端或订阅功能的访问权限,这些功能需要有效的旗舰版订阅。

1.3 旗舰版订阅

在支付相应订阅费用后,Document Node 授予您一项非独占、不可转让的许可,允许您在订阅有效期内使用 MarkNode 的全部功能,包括云端和 AI 功能。若您的订阅失效或被取消,本许可将自动终止。

2. 使用限制

您不得:

  • 复制、修改、合并、发布、分发、再许可或销售本软件的副本,本 EULA 明确允许的情形除外;
  • 对本软件进行逆向工程、反编译、反汇编,或试图推导其源代码,但适用法律不顾本项限制而明确允许此类行为的除外(例如依据适用的互操作性条款);
  • 删除、更改或遮蔽本软件中的任何专有声明(包括版权声明);
  • 使用本软件开发具有竞争关系的产品或服务,或协助第三方进行此类开发;
  • 未经我们事先书面同意,将您的许可转让、让与或再许可给他方。

3. 所有权

本软件系许可使用,而非出售。Document Node Pty Ltd 保留对本软件的一切权利、所有权和利益,包括全部知识产权。本 EULA 不向您转让任何所有权权益。

4. 第三方与开源组件

本软件包含第三方和开源组件。这些组件依据各自的开源许可证授权,相关许可已在本软件中予以声明(可通过"关于"对话框或随附的致谢文件查看)。您对这些组件的使用受其各自许可证的约束。

5. 更新

我们可能发布本软件的更新、补丁或新版本。专业版被许可方按其购买条款所述获得更新。旗舰版订阅用户在订阅有效期内获得更新。我们保留在合理通知后变更或停止某些功能的权利。

6. 期限与终止

本 EULA 自您首次安装或使用本软件之日起生效,并持续有效直至终止。

  • 免费版与专业版许可 — 本 EULA 无限期有效,除非您违反其条款,在此情形下将于我们发出通知时自动终止。
  • 旗舰版订阅 — 本 EULA 于您的订阅到期或被取消时终止。

终止后,您必须停止使用本软件并删除所有副本。第 3、7、8 和 9 条在终止后继续有效。

7. 担保免责声明

在适用法律允许的最大范围内,本软件按"现状"和"现有"提供,不作任何明示或默示的担保,包括但不限于对适销性、特定用途适用性、所有权及不侵权的担保。我们不保证本软件将不间断运行、无错误或不含有害组件,也不保证缺陷将得到修正。

本条款中的任何内容均不排除或限制您依据强制适用的消费者保护法(包括《澳大利亚消费者法》)可能享有的任何权利。

8. 责任限制

在适用法律允许的最大范围内,DOCUMENT NODE PTY LTD 不对因您使用或无法使用本软件而引起或与之相关的任何间接、附带、特殊、后果性或惩罚性损害,或利润、收入、数据或商誉的损失承担责任,即使已被告知发生此类损害的可能性。

在任何情况下,我们的累计总责任不超过以下两者中的较高者:(A)索赔发生前十二个月内您向我们支付的总金额,或(B)50 澳元。

某些司法辖区不允许排除或限制特定的担保或损害赔偿。在此类司法辖区,我们的责任以法律允许的最大限度为限。

9. 适用法律

本 EULA 受澳大利亚西澳州法律管辖,不适用其法律冲突原则。因本 EULA 引起的任何争议应受西澳州法院专属管辖,但如果您所在司法辖区的强制性消费者保护法赋予您额外的当地权利,则不在此限。

App Store Additional Terms

This section applies only to copies of MarkNode obtained through the Apple App Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to App Store installs.

You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Apple Inc. ("Apple"). Apple is not a party to this EULA and is not responsible for the Software or its content.

The license granted to you in this EULA is limited to a non-transferable license to use the Software on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

Maintenance and Support. Document Node Pty Ltd — not Apple — is solely responsible for providing maintenance and support services with respect to the Software, to the extent required under applicable law and as described in this EULA. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software.

Warranty. Document Node Pty Ltd — not Apple — is responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under this EULA. In the event of any failure of the Software to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Software. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Document Node Pty Ltd's sole responsibility.

Product Claims. Document Node Pty Ltd — not Apple — is responsible for addressing any claims you or any third party may have relating to the Software or your possession and/or use of the Software, including but not limited to: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property. In the event of any third-party claim that the Software or your possession and use of the Software infringes a third party's intellectual property rights, Document Node Pty Ltd — not Apple — will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.

Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.


Microsoft Store Additional Terms

This section applies only to copies of MarkNode obtained through the Microsoft Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to Microsoft Store installs.

You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Microsoft Corporation ("Microsoft"). Microsoft is not a party to this EULA, is not the licensor of the Software, and is not responsible for the Software or its content.

No Microsoft Warranty or Support. Microsoft provides no warranty with respect to the Software and has no obligation to provide maintenance, technical support, or other services for the Software. Any such obligations are Document Node Pty Ltd's sole responsibility as set out in this EULA.

No Microsoft Liability. Microsoft is not liable for any losses or damages arising from your use of, or inability to use, the Software. All liability (to the extent not excluded by applicable law) rests solely with Document Node Pty Ltd as described in the Limitation of Liability section of this EULA.
