Este Contrato de Licencia de Usuario Final ("CLUF") es un acuerdo legal entre usted ("usted" o el "Licenciatario") y Document Node Pty Ltd, una sociedad registrada en Australia Occidental, Australia ("Document Node", "nosotros" o "nuestro"), que rige su uso de la aplicación de escritorio MarkNode (el "Software").
Al instalar, copiar o usar el Software, usted acepta quedar vinculado por este CLUF. Si no está de acuerdo, no instale ni utilice el Software.
1. Concesión de licencia
1.1 Nivel gratuito
Sujeto a los términos de este CLUF, Document Node le concede una licencia no exclusiva, intransferible y revocable para instalar y usar el nivel gratuito de MarkNode en sus dispositivos personales sin coste alguno.
1.2 Licencia Pro (uso comercial perpetuo)
Tras la compra de una licencia Pro, Document Node le concede una licencia no exclusiva, intransferible y perpetua para instalar y usar MarkNode con fines comerciales (incluido su uso en un contexto profesional, empresarial o de cara al cliente), en el número de dispositivos permitido por su licencia, junto con actualizaciones de por vida de la aplicación sin coste adicional. La licencia Pro cubre la aplicación completa; no otorga acceso a las funciones alojadas en la nube ni a las de suscripción, que requieren una suscripción Ultimate activa.
1.3 Suscripción Ultimate
Tras el pago de las cuotas de suscripción aplicables, Document Node le concede una licencia no exclusiva e intransferible para usar todas las funciones de MarkNode, incluidas las funciones de nube y de IA, mientras su suscripción esté activa. Esta licencia se extingue automáticamente si su suscripción caduca o se cancela.
2. Restricciones
Usted no podrá:
- Copiar, modificar, fusionar, publicar, distribuir, sublicenciar ni vender copias del Software, salvo en la medida expresamente permitida por este CLUF;
- Realizar ingeniería inversa, descompilar o desensamblar el Software, ni intentar obtener su código fuente, salvo en la medida en que dicha actividad esté expresamente permitida por la legislación aplicable pese a esta restricción (por ejemplo, en virtud de las disposiciones aplicables sobre interoperabilidad);
- Eliminar, alterar u ocultar cualquier aviso de propiedad (incluidos los avisos de derechos de autor) presente en el Software;
- Usar el Software para desarrollar un producto o servicio competidor, o para ayudar a un tercero a hacerlo;
- Transferir, ceder o sublicenciar su licencia a otra parte sin nuestro consentimiento previo por escrito.
3. Propiedad
El Software se licencia, no se vende. Document Node Pty Ltd conserva todos los derechos, títulos e intereses sobre el Software, incluidos todos los derechos de propiedad intelectual. Este CLUF no le transfiere ningún derecho de propiedad.
4. Componentes de terceros y de código abierto
El Software incorpora componentes de terceros y de código abierto. Dichos componentes se licencian bajo sus respectivas licencias de código abierto, que se reconocen dentro del Software (accesibles a través del cuadro de diálogo Acerca de o de un archivo de agradecimientos incluido). Su uso de esos componentes está sujeto a sus licencias respectivas.
5. Actualizaciones
Podemos publicar actualizaciones, parches o nuevas versiones del Software. Los licenciatarios Pro reciben actualizaciones según lo descrito en sus condiciones de compra. Los suscriptores Ultimate reciben actualizaciones mientras dure su suscripción. Nos reservamos el derecho de modificar o discontinuar funciones con un preaviso razonable.
6. Vigencia y extinción
Este CLUF entra en vigor en la fecha en que usted instale o use por primera vez el Software y continúa hasta su extinción.
- Licencias gratuita y Pro: este CLUF permanece en vigor indefinidamente salvo que usted incumpla sus términos, en cuyo caso se extingue automáticamente tras nuestra notificación.
- Suscripciones Ultimate: este CLUF se extingue cuando su suscripción finaliza o se cancela.
Tras la extinción, debe dejar de usar el Software y eliminar todas las copias. Las secciones 3, 7, 8 y 9 subsisten a la extinción.
7. Exención de garantías
EL SOFTWARE SE PROPORCIONA "TAL CUAL" Y "SEGÚN DISPONIBILIDAD", SIN GARANTÍAS DE NINGÚN TIPO, EXPRESAS O IMPLÍCITAS, EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEGISLACIÓN APLICABLE, INCLUIDAS, ENTRE OTRAS, LAS GARANTÍAS DE COMERCIABILIDAD, IDONEIDAD PARA UN FIN DETERMINADO, TITULARIDAD Y NO INFRACCIÓN. NO GARANTIZAMOS QUE EL SOFTWARE FUNCIONE DE FORMA ININTERRUMPIDA, LIBRE DE ERRORES O SIN COMPONENTES DAÑINOS, NI QUE LOS DEFECTOS SEAN CORREGIDOS.
Nada en esta sección excluye ni limita los derechos que pueda tener en virtud de la normativa imperativa de protección al consumidor aplicable (incluida la Ley del Consumidor de Australia).
8. Limitación de responsabilidad
EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEGISLACIÓN APLICABLE, DOCUMENT NODE PTY LTD NO SERÁ RESPONSABLE DE NINGÚN DAÑO INDIRECTO, INCIDENTAL, ESPECIAL, CONSECUENTE O PUNITIVO, NI DE LA PÉRDIDA DE BENEFICIOS, INGRESOS, DATOS O FONDO DE COMERCIO, DERIVADOS DE O RELACIONADOS CON SU USO O IMPOSIBILIDAD DE USO DEL SOFTWARE, INCLUSO SI SE HUBIERA ADVERTIDO DE LA POSIBILIDAD DE TALES DAÑOS.
EN NINGÚN CASO NUESTRA RESPONSABILIDAD TOTAL AGREGADA EXCEDERÁ LA MAYOR DE: (A) EL IMPORTE TOTAL QUE USTED NOS HAYA PAGADO EN LOS DOCE MESES ANTERIORES A LA RECLAMACIÓN, O (B) 50 AUD.
Algunas jurisdicciones no permiten la exclusión o limitación de determinadas garantías o daños. En dichas jurisdicciones, nuestra responsabilidad se limita al máximo permitido por la ley.
9. Legislación aplicable
Este CLUF se rige por las leyes de Australia Occidental, Australia, sin atender a los principios sobre conflicto de leyes. Cualquier controversia derivada de este CLUF quedará sometida a la jurisdicción exclusiva de los tribunales de Australia Occidental, salvo que las normas imperativas de protección al consumidor de su jurisdicción le otorguen derechos locales adicionales.

App Store Additional Terms
This section applies only to copies of MarkNode obtained through the Apple App Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to App Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Apple Inc. ("Apple"). Apple is not a party to this EULA and is not responsible for the Software or its content.
The license granted to you in this EULA is limited to a non-transferable license to use the Software on any Apple-branded product that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
Maintenance and Support. Document Node Pty Ltd — not Apple — is solely responsible for providing maintenance and support services with respect to the Software, to the extent required under applicable law and as described in this EULA. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software.
Warranty. Document Node Pty Ltd — not Apple — is responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under this EULA. In the event of any failure of the Software to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Software. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Document Node Pty Ltd's sole responsibility.
Product Claims. Document Node Pty Ltd — not Apple — is responsible for addressing any claims you or any third party may have relating to the Software or your possession and/or use of the Software, including but not limited to: (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property. In the event of any third-party claim that the Software or your possession and use of the Software infringes a third party's intellectual property rights, Document Node Pty Ltd — not Apple — will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
Microsoft Store Additional Terms
This section applies only to copies of MarkNode obtained through the Microsoft Store. It supplements (and, where inconsistent, prevails over) the general EULA terms above solely with respect to Microsoft Store installs.
You and Document Node Pty Ltd acknowledge that this EULA is concluded between you and Document Node Pty Ltd only, and not with Microsoft Corporation ("Microsoft"). Microsoft is not a party to this EULA, is not the licensor of the Software, and is not responsible for the Software or its content.
No Microsoft Warranty or Support. Microsoft provides no warranty with respect to the Software and has no obligation to provide maintenance, technical support, or other services for the Software. Any such obligations are Document Node Pty Ltd's sole responsibility as set out in this EULA.
No Microsoft Liability. Microsoft is not liable for any losses or damages arising from your use of, or inability to use, the Software. All liability (to the extent not excluded by applicable law) rests solely with Document Node Pty Ltd as described in the Limitation of Liability section of this EULA.
